1Acceptance of Terms

These Terms of Use ("Terms") govern your access to and use of ScoreParrot, including the iOS, iPadOS, and macOS apps and the web version at scoreparrot.app ("Service"), operated by Swinnovate (info@swinnovate.com).

By downloading, installing, or using ScoreParrot in any way, you agree to be bound by these Terms. If you do not agree, do not use the Service.

2Service Description

ScoreParrot is an audio-to-MIDI transcription service. It accepts piano audio via file upload (MP3, WAV, M4A), YouTube URL, or in-app microphone recording, and returns a MIDI file representing the detected notes.

ScoreParrot currently supports piano audio only. Transcription of other instruments may produce inaccurate or unusable results.

The Service is provided "as is" and Swinnovate reserves the right to modify, suspend, or discontinue any part of the Service at any time without notice.

3Account & Authentication

Access to the Service requires signing in with Apple. By signing in you authorise ScoreParrot to receive an Apple-issued user identifier and, optionally, an email address (or Apple private relay address) to create and manage your account.

You are responsible for maintaining the security of your device and Apple ID. Swinnovate is not liable for any loss or damage arising from unauthorised access to your account.

Sessions expire after 30 days of inactivity. You can sign out at any time from within the app.

4Submitted Content

You retain all rights to audio files and YouTube URLs you submit to the Service. By submitting content you grant Swinnovate a limited, non-exclusive licence to store and process that content solely for the purpose of generating your MIDI transcription.

By submitting content you represent and warrant that:

Swinnovate does not claim ownership of any audio or MIDI files associated with your account and does not use them to train machine-learning models or for any purpose beyond delivering the Service to you.

Audio files and generated MIDI files are retained on our servers until you delete the order or your account. You can delete individual orders at any time from the app.

5Transcription Quality

ScoreParrot uses a neural network model trained on piano recordings. While we strive for accurate results, perfect transcription quality cannot be guaranteed. Accuracy depends on factors including recording quality, background noise, tempo, and musical complexity.

Results are best with clean, single-instrument piano recordings. Low-quality or noisy recordings, recordings of multiple simultaneous instruments, or audio that contains significant reverb may produce less accurate output.

Swinnovate makes no warranty that the MIDI output will be error-free or suitable for any particular purpose.

6YouTube API

When you submit a YouTube URL, ScoreParrot uses the YouTube API to download audio for transcription. By using this feature you also agree to the YouTube Terms of Service.

You must only submit YouTube URLs for content you have the right to process. Submitting copyrighted content without authorisation is your sole responsibility.

7Service Limits

Swinnovate reserves the right to impose and modify limits on the Service at its sole discretion, including but not limited to:

Current limits, if any, are communicated within the app. Swinnovate may adjust these limits at any time without prior notice.

8Intellectual Property

The ScoreParrot app, website, logo, and all associated software, designs, and content are the property of Swinnovate and are protected by copyright, trademark, and other intellectual property laws.

Use of the Service does not transfer any ownership rights to you. You may not copy, modify, distribute, sell, or create derivative works of any part of the Service without prior written permission from Swinnovate.

MIDI files you generate using the Service are yours, subject to the rights of the underlying audio copyright holders. It is your responsibility to determine how you may use any MIDI output.

9Acceptable Use

You agree not to:

10Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

We collect only the minimum personal information necessary to provide the Service. We do not sell your data and do not use your audio or MIDI files for advertising or model training.

11Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

SWINNOVATE DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS, OR THAT ANY DEFECTS WILL BE CORRECTED.

12Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SWINNOVATE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE.

IN NO EVENT SHALL SWINNOVATE'S TOTAL LIABILITY TO YOU EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO SWINNOVATE IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (B) USD $10.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so the above limitations may not apply to you in full.

13Indemnification

You agree to indemnify and hold harmless Swinnovate and its officers, employees, and agents from any claims, damages, losses, and expenses (including reasonable legal fees) arising out of or related to:

14Changes to Terms

Swinnovate may update these Terms at any time. When we make material changes we will update the "Last updated" date at the top of this page. For significant changes we will endeavour to notify you via the app or email.

Continued use of the Service after updated Terms take effect constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Service.

15Governing Law

These Terms are governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions. Any disputes arising from these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the state and federal courts located in California.

Nothing in these Terms affects any statutory rights you may have as a consumer under the laws of your jurisdiction that cannot be waived by contract.
